Terms of Service
Please read these Terms of Service carefully before using our website or placing any orders. By accessing our website or engaging in any transaction with SUSAN, you agree to be bound by these terms.
Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the SUSAN website located at www.susancapacitor.com ("Site") and all related services, product offerings, and business transactions conducted with SUSAN ("Company," "we," "us," or "our").
By accessing the Site, submitting an inquiry, placing an order, or otherwise engaging with SUSAN, you ("Customer," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with any part of these Terms, you must not use our Site or services.
Services & Products
SUSAN is a manufacturer of aluminum electrolytic capacitors headquartered in Dongguan, China. Our product range includes, but is not limited to:
- Aluminum electrolytic capacitors (liquid and solid-state)
- Snap-in capacitors
- SMD (chip) capacitors
- Custom OEM and ODM capacitor solutions
We reserve the right to modify, suspend, or discontinue any product or service at any time without prior notice. Product specifications, datasheets, and technical parameters displayed on the Site are provided for reference purposes and may be updated to reflect ongoing engineering improvements.
All product images, diagrams, and specification data on the Site are indicative only. Final product specifications are confirmed in writing at the time of order acceptance.
Orders & Payment
3.1 Order Placement. All orders are subject to written confirmation by SUSAN. An order is deemed accepted only upon issuance of a written order acknowledgment or proforma invoice by SUSAN. We reserve the right to decline any order at our sole discretion.
3.2 Pricing. All prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Prices are subject to change without notice prior to order acceptance. Once an order is confirmed, the agreed price is binding for that specific order.
3.3 Payment Terms. Standard payment terms are 30% deposit upon order confirmation, with the remaining 70% due prior to shipment, unless otherwise agreed in writing. SUSAN accepts T/T (telegraphic transfer) and other payment methods as mutually agreed. All bank charges are the responsibility of the Customer.
3.4 Minimum Order Quantity (MOQ). SUSAN offers flexible low MOQ options. Specific MOQ requirements are provided in individual quotations and may vary by product series and customization requirements.
3.5 Taxes & Duties. Prices do not include import duties, taxes, or other governmental charges applicable in the Customer's country. The Customer is solely responsible for all such charges.
Shipping & Delivery
4.1 Lead Times. Standard sample turnaround is approximately 72 hours for standard series products. Production lead times for bulk orders vary by product series, order volume, and customization requirements, and will be confirmed in writing at the time of order acceptance.
4.2 Shipping Terms. Unless otherwise agreed in writing, goods are shipped Ex Works (EXW) Dongguan, China (Incoterms 2020). Risk of loss and damage passes to the Customer upon delivery to the carrier.
4.3 Delivery Estimates. All delivery dates provided are estimates only. SUSAN shall not be liable for any delays in delivery caused by circumstances beyond our reasonable control, including but not limited to customs clearance delays, carrier disruptions, natural disasters, or force majeure events.
4.4 Inspection on Arrival. The Customer must inspect goods upon receipt and notify SUSAN in writing of any visible damage or shortage within five (5) business days of delivery. Failure to do so constitutes acceptance of the goods as delivered.
Quality & Warranty
5.1 Quality Standards. SUSAN manufactures products in accordance with ISO 9001 quality management standards. Our products are designed to meet applicable international standards including IEC 60384-4 and RoHS 3 / REACH compliance requirements where specified.
5.2 Limited Warranty. SUSAN warrants that products will conform to the agreed written specifications and be free from defects in materials and workmanship under normal use and operating conditions for a period of twelve (12) months from the date of shipment, unless a different warranty period is specified in writing.
5.3 Warranty Exclusions. The warranty does not cover defects arising from:
- Improper installation, storage, or handling by the Customer
- Operation outside specified electrical or environmental parameters
- Unauthorized modification or repair
- Normal wear and tear
- Damage caused by misuse, accident, or negligence
5.4 Warranty Claims. To make a warranty claim, the Customer must contact SUSAN within the warranty period, provide written documentation of the defect, and return samples for inspection upon request. SUSAN's sole obligation under this warranty is, at our discretion, to repair, replace, or issue a credit for defective products.
5.5 Safety Notice. Aluminum electrolytic capacitors must be operated strictly within their rated voltage, temperature, and polarity specifications. Misapplication may result in reduced lifespan, leakage, or component failure. Customers are responsible for ensuring correct application engineering.
Intellectual Property
All content on the Site, including but not limited to text, graphics, datasheets, product specifications, logos, trademarks, and software, is the exclusive property of SUSAN or its licensors and is protected by applicable intellectual property laws.
You may download and print materials from the Site solely for your internal business evaluation purposes. You may not reproduce, redistribute, republish, or commercially exploit any content from the Site without prior written consent from SUSAN.
For OEM and ODM engagements, intellectual property ownership of custom designs and tooling will be governed by the specific written agreement executed between the parties for each project.
Confidentiality
Each party may disclose to the other certain confidential or proprietary information in the course of their business relationship. Each party agrees to hold such information in strict confidence, not to disclose it to third parties, and to use it solely for the purposes of the business relationship.
This obligation does not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before receipt from the disclosing party; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.
Where a separate Non-Disclosure Agreement (NDA) is executed between the parties, the terms of that NDA shall govern confidentiality obligations.
Limitation of Liability
8.1 To the maximum extent permitted by applicable law, SUSAN's total aggregate liability to the Customer for any claims arising out of or related to these Terms or any transaction shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim.
8.2 In no event shall SUSAN be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, or loss of data, even if SUSAN has been advised of the possibility of such damages.
8.3 The Site and its content are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Compliance & Export Controls
The Customer agrees to comply with all applicable laws and regulations in connection with the purchase and use of SUSAN products, including but not limited to export control laws, import regulations, and end-use restrictions.
The Customer represents and warrants that it will not use, sell, resell, transfer, or otherwise dispose of SUSAN products in violation of any applicable export control or sanctions laws, including those of the People's Republic of China, the United States, the European Union, and any other relevant jurisdiction.
SUSAN products comply with RoHS 3 and REACH regulations where specified. Compliance documentation is available upon request. It is the Customer's responsibility to verify that products meet all regulatory requirements applicable in their jurisdiction and end-use application.
Privacy
SUSAN collects and processes personal information submitted through the Site (such as name, company, country, and inquiry details) solely for the purpose of responding to inquiries, processing orders, and managing our business relationship with you.
We do not sell or rent your personal information to third parties. We may share information with logistics partners, payment processors, or other service providers strictly as necessary to fulfill your order.
By submitting information through the Site, you consent to its processing for the purposes described above. For questions about how your data is handled, please contact us.
Termination
SUSAN reserves the right to suspend or terminate your access to the Site and refuse service to any Customer at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other customers, third parties, or our business interests.
Upon termination, all provisions of these Terms that by their nature should survive termination -- including ownership provisions, warranty disclaimers, indemnity, and limitations of liability -- shall continue to apply.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or any transaction with SUSAN shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to the competent courts or arbitration body in Dongguan, Guangdong Province, China, unless otherwise agreed in writing.
For international transactions, the parties may mutually agree in writing to submit disputes to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
Changes to Terms
SUSAN reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Site or engagement in transactions with SUSAN after any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree with any revised Terms, you should discontinue use of the Site and contact us to discuss any outstanding orders or obligations.
